Tadpole provides resident officeholders
It is mandatory for the director and key officers of an incorporated company to be residents of Australia. To meet this requirement, Tadpole Bio will appoint a seasoned and Australian-based Resident Director, Company Secretary, and Resident Public Officer. These experienced professionals will expertly oversee and manage all of your company’s compliance, legislative, and regulatory obligations, ensuring that your operations adhere to Australian laws and standards.
Here is some information on appointing resident officeholders:
NUMBER 1
One of the key requirements set by ASIC for establishing a company in Australia is the appointment of a local Australian resident as a director.
To qualify as a director, an individual must:
- Consent to taking on the responsibilities and duties of a director.
- Be at least 18 years of age.
- Ordinarily reside in Australia.
NUMBER 2
The resident director ensures the company meets its legal obligations and undertakes essential tasks on behalf of the company, including:
- Ensuring the company’s solvency.
- Signing contracts.
- Assisting with the opening of a bank account.
- Reviewing financial records.
NUMBER 3
Appointing a Public Officer: The public officer, who must ordinarily reside in Australia, serves as the company’s representative and main point of contact with the Australian Taxation Office (ATO). The public officer is responsible for ensuring the company fulfills all its tax obligations under the Income Tax Assessment Act 1936.
Key responsibilities of the public officer include:
- Managing all communications with the ATO
- Registering the company for tax purposes.
- Lodging tax returns.
- Maintaining accurate records.

To register the company, you must submit an application to the Australian Securities and Investments Commission (ASIC). Upon successful registration, the company will be issued an Australian Company Number (ACN). Following this, you can apply for necessary taxation registrations, including an Australian Business Number (ABN), a Company Tax File Number (TFN), and Goods & Services Tax (GST), all of which are issued by the Australian Business Register (ABR).
